  • Violating any third-party rights, including intellectual property rights, privacy rights, or contractual rights.

We reserve the right, in our sole discretion, to suspend or terminate your access to our Site and services for any violation of these Terms, without notice and without liability to you.

4. Intellectual Property Rights

All content on the Site, including but not limited to text, graphics, logos, icons, images, photographs, audio clips, digital downloads, data compilations, software, and the overall "look and feel" of the Site (collectively, "Content"), is the exclusive property of Dewey's Pizza or its content suppliers and is protected by United States and international copyright, trademark, trade dress, patent, and other intellectual property laws.

The Dewey's Pizza name, logo, and all related product names, design marks, and slogans are trademarks or registered trademarks of Dewey's Pizza. You may not use any of these marks without our prior written consent. All other trademarks appearing on the Site that are not owned by Dewey's Pizza are the property of their respective owners.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site solely for the purpose of browsing our menu and placing orders for your personal, non-commercial use. This license does not include the right to:

  • Reproduce, distribute, publicly display, or create derivative works based on any Content from the Site.

5.2 Payment Methods

By providing your payment information, you represent and warrant that you are authorized to use the designated payment method and that you authorize us to charge the full amount of your order to that payment method.

5.3 Order Confirmation and Cancellation

Upon successful placement of an order, you will receive an electronic order confirmation. This confirmation does not guarantee fulfillment if circumstances beyond our control (such as ingredient unavailability or operational issues) prevent us from completing your order. In such cases, we will notify you promptly and issue a full refund where applicable.

5.4 Refunds and Disputes

If you are dissatisfied with your order due to an error on our part (e.g., incorrect items, missing items, or quality concerns), please contact us within 24 hours of receipt of your order. We are not responsible for dissatisfaction resulting from customer error in ordering or changes in personal preference after ordering.

6. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, DEWEY'S PIZZA, ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, data, goodwill, or business opportunities.
  • Personal injury or property damage not directly and proximately caused by our negligence.
  • Unauthorized access to or alteration of your personal data or transmissions.
  • Damages arising from your reliance on any information obtained through the Site.
  • Damages arising from any interruption, suspension, or termination of our services.
  • Damages resulting from third-party conduct or content.

IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF OUR SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO DEWEY'S PIZZA IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain types of damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by applicable law. Nothing in these Terms shall limit or exclude our liability for gross negligence, willful misconduct, fraud, or any other liability that cannot be excluded or limited under applicable law, including liability under the Federal Trade Commission Act (FTC Act) for unfair or deceptive acts or practices.

7. Disclaimers

7.1 As-Is Basis

THE SITE AND ALL CONTENT, PRODUCTS, AND SERVICES MADE AVAILABLE THROUGH THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, DEWEY'S PIZZA EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
  • WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.
  • WARRANTIES THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, VIRUS-FREE, OR SECURE.
  • WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT ON THE SITE.

8. Indemnification

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Dewey's Pizza and its owners, officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms or any applicable law or regulation.
  • Your use of the Site or our services, including any orders placed by you.
  • Your infringement of any intellectual property or other rights of any third party.
  • Any content, information, or materials you submit, post, or transmit through the Site.
  • Your negligent or intentional misconduct.

We reserve the right, at our own expense, to assume exclusive defense and control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate with our defense of such claim. You agree not to settle any indemnified claim without our prior written consent.

9. Governing Law and Jurisdiction

These Terms of Service and any disputes arising out of or related to these Terms, the Site, or our services shall be governed by and construed in accordance with the laws of the United States of America and the laws of the state in which Dewey's Pizza is registered and principally operating, without regard to its conflict of law provisions.

Subject to the dispute resolution provisions set forth in Section 10 below, you agree to submit to the exclusive personal jurisdiction of the state and federal courts located within the applicable jurisdiction for the resolution of any disputes that are not subject to arbitration. You waive any objection to the laying of venue of any such proceedings in such courts and waive any claim that such proceedings have been brought in an inconvenient forum.

To the extent that any applicable federal law governs these Terms, including but not limited to the Federal Trade Commission Act (FTC Act), 15 U.S.C. § 45 et seq., the Computer Fraud and Abuse Act (CFAA), 18 U.S.C. § 1030, the Electronic Communications Privacy Act (ECPA), and the CAN-SPAM Act, such laws shall apply in addition to applicable state law. For California residents, additional rights may be available under the California Consumer Privacy Act (CCPA), as amended by the California Privacy Rights Act (CPRA).

10. Dispute Resolution

10.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to contact Dewey's Pizza at [email protected] to attempt to resolve the dispute informally. We will attempt to resolve your concern within thirty (30) days of receiving your notice. If the dispute is not resolved informally within this period, either party may pursue formal dispute resolution as set forth below.

10.2 Binding Arbitration

EXCEPT FOR CLAIMS THAT MAY BE BROUGHT IN SMALL CLAIMS COURT AND EXCEPT FOR INJUNCTIVE OR EQUITABLE RELIEF TO PREVENT UNAUTHORIZED USE OF INTELLECTUAL PROPERTY, YOU AND DEWEY'S PIZZA AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE BREACH, TERMINATION, ENFORCEMENT, INTERPRETATION, OR VALIDITY THEREOF, OR TO THE USE OF THE SITE OR OUR SERVICES, SHALL BE SETTLED BY BINDING ARBITRATION IN ACCORDANCE WITH THE COMMERCIAL ARBITRATION RULES OF THE AMERICAN ARBITRATION ASSOCIATION (AAA), AS MODIFIED BY THIS SECTION.

The arbitration shall be conducted by a single neutral arbitrator, in English, and the arbitrator's decision shall be final and binding. Judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction. The place of arbitration shall be determined based on the registered location of Dewey's Pizza. The arbitrator shall have the authority to award any remedy that would be available in a court of law.

10.3 Class Action Waiver

YOU AND DEWEY'S PIZZA EACH AGREE THAT ANY CLAIMS BETWEEN US SHALL BE BROUGHT SOLELY IN YOUR OR OUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING. UNLESS BOTH PARTIES AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS, AND MAY NOT OTHERWISE PRESIDER OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING.

10.4 Exceptions

Nothing in this Section shall prevent either party from seeking emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm pending the resolution of a dispute. Additionally, either party may bring individual claims in small claims court if the claim qualifies under the applicable rules of that court.

11. Term and Termination

These Terms shall remain in full force and effect for as long as you access or use the Site or our services. We reserve the right, in our sole discretion and without prior notice, to:

  • Suspend or terminate your access to the Site and services at any time, for any reason, including but not limited to your violation of these Terms.
  • Refuse service to any person or entity for any lawful reason.
  • Discontinue, modify, or temporarily or permanently suspend the Site or any portion thereof.

You may terminate your use of the Site and services at any time by ceasing to use the Site. If you have an account with us, you may request deletion of your account by contacting us at [email protected].

Upon termination, all rights and licenses granted to you under these Terms shall immediately cease, and you must promptly discontinue all use of the Site. Termination shall not affect any obligations or liabilities that accrued prior to the date of termination, and the following provisions shall survive termination: Sections 4 (Intellectual Property Rights), 6 (Limitation of Liability), 7 (Disclaimers), 8 (Indemnification), 9 (Governing Law), 10 (Dispute Resolution), and 14 (Severability), as well as any other provisions that by their nature should survive termination.

We reserve the right to modify these Terms of Service at any time, in our sole discretion. When we make material changes to these Terms, we will update the "Last Updated" date at the top of this page. In some cases, we may also provide additional notice, such as sending an email notification to the address associated with your account or posting a prominent notice on the Site.

13. Additional Legal Provisions

13.1 Force Majeure

Dewey's Pizza shall not be liable for any delay or failure to perform its obligations under these Terms where such delay or failure results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, government actions or regulations, labor disputes, power outages, internet or telecommunications failures, supply chain disruptions, or other events of force majeure. In such circumstances, our obligations shall be suspended for the duration of the force majeure event, and we will make reasonable efforts to resume normal operations as soon as practicable.

13.2 Entire Agreement

These Terms of Service, together with our Privacy Policy and any other legal notices or additional terms and conditions posted on the Site, constitute the entire agreement between you and Dewey's Pizza with respect to your use of the Site and our services, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties — whether written or oral — with respect to the same subject matter.

13.3 Waiver

Our failure to enforce any right or provision of these Terms shall not be construed as a waiver of such right or provision. No waiver by Dewey's Pizza of any breach or default under these Terms shall be deemed a waiver of any subsequent breach or default. Any waiver of any provision of these Terms will only be effective if made in writing and signed by an authorized representative of Dewey's Pizza.

13.4 Assignment

You may not assign, transfer, or sublicense any of your rights or obligations under these Terms without our prior written consent. We may freely assign these Terms, in whole or in part, to any affiliate, successor, or acquirer without restriction and without notice to you.

13.5 Electronic Communications

By using our Site and services, you consent to receiving electronic communications from us. These communications may include order confirmations, service announcements, policy updates, and promotional messages. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing, to the extent permitted by applicable law.

14. Severability

If any provision of these Terms of Service is found to be invalid, unlawful, void, or unenforceable for any reason by a court of competent jurisdiction or arbitrator, that provision shall be deemed severed from these Terms to the minimum extent necessary to make the remaining provisions of these Terms valid, legal, and enforceable. The invalidity, illegality, or unenforceability of any provision shall not affect or impair the validity, legality, or enforceability of any other provision of these Terms.

In the event that any provision is found to be invalid or unenforceable but could be made valid and enforceable through modification, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, consistent with the original intent of the parties. The parties agree that it is their intention that these Terms be carried out as nearly as possible in accordance with their original meaning and intent.
